It is a condition of Gloucestershire Enterprise Network ("GEN") allowing you free access to the material on this website that you accept the terms and conditions of this notice.

CODE OF CONDUCT & TERMS OF USE OF THE GLOUCESTERSHIRE ENTERPRISE NETWORK WEBSITE
This Code of Conduct and Terms of Use (collectively referred to as the "Code") will apply to each subscriber who wishes to use the Gloucestershire Enterprise Network ("GEN") Website (the "Website") and/or participate in its discussion groups ("Subscriber").
Each Subscriber must comply and adhere to this Code in order to access and use the Website or participate in any discussion group on the Website.
In order to use and participate in this Website, all Subscribers must accept this Code by clicking the "I accept" button at the end of this document. Upon such acceptance, each Subscriber will be given a unique logon ID for participation in discussion groups.
1. Requirements
Each Subscriber and any material which he/she posts onto the Website or to its discussion groups ("Material") must comply with the following basic standards:
1.1 all Material and activities must be legal, decent and honest (in terms of the Subscriber's and GEN’s applicable law and standards);
1.2 data protection legislation within the Subscriber's and GEN’s applicable law must be adhered to in order that the collection of personal information is not traded or disclosed illegally;
1.3 distance selling requirements must be complied with as laid down in the Subscriber's applicable law or the law applicable in the jurisdiction of the recipient of goods and/or services of the Subscriber as appropriate;
1.4 other applicable trading standards and laws and regulations as the same are created from time to time and notified to Subscribers direct and on this Website.
2. Responsibilities of Subscribers
2.1 Each Subscriber is solely responsible for the accuracy, legality, currency and compliance of its own Material and will be solely liable for false, misleading, inaccurate, infringing or other actionable material contained or referred to therein.
2.2 Each Subscriber is solely responsible for maintaining the confidentiality of its unique logon ID, and for its use.
2.3 Each Subscriber will abide by the rules governing individual parts of the Website as brought to its attention from time to time.
2.4 Where Subscribers collaborate with one another as a result of use of this Website or the discussion groups, they do so as independent contracting parties. Subscribers acknowledge that GEN will not in any way be construed as a party to such collaboration nor be liable nor responsible in any way for the dealings of such collaboration or the parties to such collaboration.
3. Responsibilities of GEN
3.1 GEN will check/confirm the identity of Subscribers before a logon ID is given for any Subscriber participating in discussion groups on the Website.
3.2 GEN will manage and oversee (but not monitor) the Website and discussion groups.
4. Indemnity and Waiver
4.1 Each Subscriber agrees to indemnify and keep GEN, its successors and assigns, and each of its respective directors, officers, employees and agents from and against any and all liability, damages, losses, claims (including reasonable legal fees) resulting in any way from its use of and from any Material posted on this Website, to its discussion groups or from any other matter relating to its participation herein including but not limited to use of the information contained on the Website, from discussion groups or arising from any introduction or collaboration resulting therefrom or otherwise arising from using the Website.
4.2 Each Subscriber waives any right to bring any claim or action against GEN for any loss, damage or injury arising from use of the Website or any Material from the Website or from this Code.
5. Term and Termination
Each Subscriber agrees to remain bound by this Code (as amended from time to time) for as long as they remain a Subscriber of the Website and wishes to use the Website unless GEN earlier terminates, suspends or otherwise limits access to the Website and/or discussion group in accordance with the Code or as it otherwise deems is appropriate.
6. Applicable Law
Each Subscriber agrees that this Code and any dispute arising in any way in relation to the Website will be governed by and construed in accordance with the applicable laws of England and Wales.


DISCUSSION GROUPS AND NOTICE BOARD STANDARDS
Your privilege to use and contribute to discussions depends on your compliance with the Discussion Group and Notice Board Rules ("the Rules").
Gloucestershire Enterprise Network ("GEN") may take appropriate measures to enforce the Rules if violations are brought to its attention. GEN reserves the right to delete any posting at any time for any reason.
If you fail to abide by the Rules you will be formally warned by e-mail. If after any warning you continue to breach the Rules you will be prohibited from using the discussion groups and notice boards. However GEN reserves the right to terminate your access to the discussion groups and notice boards at any time without notice for any reason whatsoever.
You agree to use the discussion groups and notice boards only to send and receive messages and material that are proper and related to the particular forum.
GEN has no obligation to monitor the discussion groups and notice boards but reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation or legal process or refuse to post any information or materials, in whole or in part.
The materials are not edited for content, style or errors in mechanics or fact. You are responsible and liable for all activities conducted through your use of the discussion groups and notice boards.


DISCUSSION GROUPS AND NOTICE BOARD RULES
By using the GEN discussion groups and notice boards you agree not to engage in any of the following acts:-
1. Defame, abuse, harass, threaten or in any other way violate the legal rights of others.
2. Post vulgar, obscene, sexually explicit or racially abusive material or adopt an inappropriate user name.
3. Post any illegal material of any nature including text, graphics, video, audio or programs.
4. Post any material including text, graphics, video, audio or programs with the intention of committing an illegal act.
5. Post any materials including text, graphics, video, audio or programs to which you do not own the copyright or other necessary consents to distribute electronically or distribute such material which is protected by intellectual property laws or by rights of privacy.
6. Post any material including text, graphics, video, audio or programs which may plagiarise or infringe on the rights of third parties.
7. Download any file posted by another user that you know, or reasonably ought to know, cannot be legally distributed in such a manner.
8. Post or transmit any unsolicited advertising, promotional materials, or any form of solicitation.
9. Impersonate any person, body corporate or other form of organisation or institution.
10. Upload files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another’s computer.
11. Falsify or delete any authors contributions, legal or other notices or proprietary designations or labels of the origin or source of software or any other material contained in a file that is uploaded to the discussion groups and notice boards.
You acknowledge that all discussion groups and notice boards are public communications and may be read by others without your knowledge.
By posting messages, uploading files, inputting data or engaging in any other form of communication through the discussion groups and notice boards you are granting GEN permission to use, modify, copy, distribute, transmit, publicly display, reproduce, publish or sell any such communication.


PRIVACY POLICY
At Gloucestershire Enterprise Network ("GEN") we have adopted the following privacy policy as part of our commitment to protect any personal information ("Personal Information") which you may provide to GEN through this website or by any other means.
1. GEN will not use or disclose your Personal Information unless you have given your permission, except for the following purposes:
1.1 to assess, operate and improve this website and the services provided through it;
1.2 to keep you informed about GEN and its services and about this website;
1.3 if GEN is required to disclose such Personal Information by any applicable law, regulation or legal process.
